These Terms of Service ("Terms") govern your access to and use of the PrepNexus website, Android application, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Acceptance of Terms

By accessing or using the Services, you acknowledge and agree that:

  1. You confirm you are capable of entering into a binding agreement under applicable law.
  2. You agree to comply with these Terms and all applicable laws and regulations.
  3. Use of the Services following updates to these Terms constitutes acceptance of the updated Terms.

2. Definitions

For the purposes of these Terms, the following definitions shall apply:

  1. "Account" means the registered profile used to access the Services.
  2. "Content" means text, images, data, questions, answers, analytics, and other materials available through the Services.
  3. "User Content" means content submitted, uploaded, or otherwise provided by you.

3. Eligibility

3.1 The Services are intended for students and institutions in India.

3.2 Minors should use the Services under the supervision of a parent or legal guardian.

3.3 We may restrict or suspend access if you violate these Terms.

4. Account Creation and Security

You acknowledge and agree that:

  1. You must provide accurate, complete information during registration and keep it updated.
  2. You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account.
  3. You shall notify us immediately of any unauthorized use or security incident.

5. License to Use

5.1 Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial educational purposes.

5.2 We reserve all rights not expressly granted herein.

6. User Content

With respect to User Content, you acknowledge and agree that:

  1. You retain ownership of your User Content.
  2. You grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and process User Content solely to operate and improve the Services (including AI features and analytics).
  3. You represent and warrant that you have all rights necessary to submit User Content and that it does not infringe third-party rights.

7. Acceptable Use Policy

7.1 You agree not to engage in any of the following prohibited activities:

  1. Probe, scan, or test the vulnerability of any system or network or breach any security or authentication measures;
  2. Access, tamper with, or use non-public areas of the Services or our providers' systems;
  3. Copy, scrape, or resell Content; or use the Services to build a competing product;
  4. Upload malicious code, spam, or engage in harassment or illegal activity.

7.2 Violations may lead to suspension, termination, or legal action.

8. Subscriptions, Trials, and Payments

8.1 Plans and Features

We may offer subscription plans (including promotional trials) via authorized platforms such as the Google Play Store. Features may include AI doubt solving, adaptive tests, analytics, and premium tools.

8.2 Trial Offer

8.2.1 Promotional offer: First 500 users receive a three-month free trial; all subsequent users receive a one-month free trial.

8.2.2 We may verify eligibility and may modify or end the offer at any time as permitted by law.

8.3 Billing and Renewal

8.3.1 Charges are processed by platform providers.

8.3.2 Subscriptions renew automatically unless cancelled before the end of the current period.

8.3.3 Taxes may apply as per applicable law.

8.4 Cancellation and Refunds

  1. You may cancel anytime via your Google Play account settings; access continues until the end of the paid period.
  2. Refunds are generally not provided except where required by law or in exceptional cases (e.g., activation without usage within two days; payment failures or access issues).
  3. We reserve the right to assess refund requests individually at our sole discretion.

9. Intellectual Property

9.1 The Services and all related Content are owned by Prepwithus Pvt Ltd or its licensors and are protected by applicable intellectual property laws.

9.2 No rights are granted except as expressly stated herein.

9.3 You may not reverse engineer, decompile, or otherwise attempt to derive source code or underlying models.

10. Disclaimers

10.1 The Services, including AI outputs and analytics, are provided on an "AS IS" and "AS AVAILABLE" basis for educational support only.

10.2 We do not warrant accuracy, completeness, or fitness for a particular purpose, and we disclaim all warranties to the fullest extent permitted by applicable law.

11. Limitation of Liability

11.1 To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from or related to your use of the Services.

11.2 Our aggregate liability for all claims shall not exceed the greater of INR 5,000 (Indian Rupees Five Thousand) or the amount you paid in the twelve months preceding the event giving rise to the liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless Prepwithus Pvt Ltd and its affiliates, officers, employees, and agents from and against any and all claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms or applicable law.

13. Suspension & Termination

13.1 We may suspend or terminate your access to the Services at any time with or without notice for suspected violations of these Terms, security risks, fraud, or illegal activity.

13.2 Upon termination, your rights to use the Services shall cease immediately.

14. Changes to these Terms

14.1 We may update these Terms from time to time in our sole discretion.

14.2 Material changes will be notified in-app or via email at least thirty (30) days prior to taking effect, where required by applicable law.

15. Governing Law & Jurisdiction

15.1 These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflicts of law principles.

15.2 Subject to the arbitration provision below, the courts located in Bengaluru, Karnataka shall have exclusive jurisdiction over any disputes arising hereunder.

16. Dispute Resolution

16.1 In the event of a dispute, the parties shall first attempt to resolve it through good-faith negotiations.

16.2 If such dispute remains unresolved within thirty (30) days, the dispute shall be referred to binding arbitration in Bengaluru, India, under the Arbitration and Conciliation Act, 1996.

16.3 The arbitration proceedings shall be conducted in English.

16.4 Each party shall bear its own costs; arbitrator fees shall be shared equally unless otherwise determined by the arbitrator.

17. Miscellaneous

  1. Severability: If any provision hereof is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  2. No Waiver: No failure or delay by us in enforcing any provision shall constitute a waiver of our right to enforce such provision or any other provision at any time thereafter.
  3. Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
  4. Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements and understandings.
  5. Electronic Communications: You hereby consent to receive communications from us electronically, and such electronic communications shall satisfy any legal requirement that communications be in writing.
